Dinogo 2022 Roam Remotely Sweepstakes – Official Terms

1. Overview: The Sweepstakes detailed below (“Sweepstakes”) is hosted by Dinogo Software Corporation (“Dinogo”), located at 7 Market Street, Stamford, CT 06902.

These terms constitute the official guidelines of the Sweepstakes (“Rules”). By participating, you agree to adhere to these Rules. If you do not accept any of the Rules, please refrain from entering the Sweepstakes. Non-compliance may lead to disqualification at Dinogo’s discretion.

2. Important Defined Terms: The terms below, when capitalized, shall carry the meanings assigned to them:

3. Eligibility: You may enter the Sweepstakes if you fulfill the Eligibility Requirements. Employees of Dinogo, Booking Holdings, Inc. (“Booking Holdings”) or its affiliates, as well as individuals professionally associated with this Sweepstakes and their immediate family members (including parents, siblings, spouses, and children) are not eligible to win the Prize (as defined above). Any entries from these individuals will be deemed invalid. NO PURCHASE NECESSARY TO ENTER. VOID WHERE PROHIBITED.

4. Entry Period: The Sweepstakes kicks off on Tuesday, January 4, 2022, at 12:00 PM (EST) and concludes on Friday, February 4, 2022, at 11:59 AM (EST) (“Entry Period”). Following this, the selection and notification of the Winners will take place around Monday, February 7, 2022, at 3:00 PM (EST) (“Drawing Date”). All times referenced in the Sweepstakes are in Eastern Standard Time unless stated otherwise. The Sponsor’s server will serve as the official timekeeping device. ENTRANTS ARE RESPONSIBLE FOR DETERMINING THE RELEVANT TIME ZONE IN THEIR RESPECTIVE LOCATIONS.

5. How to Enter: During the Entry Period, you can enter the Sweepstakes using the Entry Method outlined above. There is a limit of one (1) entry per person during the Entry Period. Any entries made through robotic, automatic, programmed, or similar methods will be disqualified.

6. Winner Selection: At the conclusion of the Entry Period, the winner (“Winner”) will be chosen through a random drawing (“Drawing”) on the Drawing Date from all eligible entries received. There will be one (1) Winner selected. The odds of winning are contingent upon the total number of eligible entries received. Non-winning entries will not carry over to future sweepstakes or drawings. Note that no entrant can win more than once. The Sponsor’s decision is final and binding regarding all aspects of the Sweepstakes.

7. Winner Notification: The potential Winner will be notified via the provided email approximately within 24 hours after the Drawing Date. The Winner may also be publicly acknowledged on Instagram, and by entering the Sweepstakes, you consent to such public disclosure. If the potential Winner cannot be reached within three (3) business days after the first contact attempt or is unable to attend, Dinogo may award the Prize to an alternate entrant. To claim the Prize, the Winner must complete and sign an “Affidavit of Eligibility and Liability Release,” a W-9 Form (if necessary), and, where permissible, a publicity release. Failure to return these documents promptly, if the prize notification is undeliverable, or if the potential Winner does not comply with these Official Rules, will result in forfeiture of the prize, with Dinogo having the discretion to notify a runner-up. Dinogo reserves the right to conduct a background check on any potential Winner and may disqualify anyone with a criminal charge or conviction if awarding them the prize could negatively impact the Sweepstakes or Dinogo. Dinogo’s computer will be the official timekeeper for all matters related to the Sweepstakes.

8. Prize: The Winner(s) will receive the Prize(s). The Winner(s) will not receive the difference between the actual and approximate retail value. No cash equivalent or alternative prize will be offered, and the Prize is non-transferable and non-exchangeable, except at Dinogo’s sole discretion. The Prize is awarded “as is” with no warranties or guarantees, either expressed or implied. All taxes and additional expenses, costs, or fees, including travel and accommodations related to the acceptance or use of any prize, are the sole responsibility of the Winner(s). The Prize(s) may also be subject to Additional Prize Conditions, if any, mentioned above. Dinogo will not be liable for any loss, liability, or damage arising from any Winner’s acceptance or use of any Prize.

9. Winners List: To obtain a list of the Winner(s) for the Sweepstakes, please email [email protected]. Requests for results must be made within 30 days following the end of the Entry Period.

10. Conditions: By entering the Sweepstakes, you confirm that all information you provide is accurate, current, and complete. Dinogo reserves the right to request proof of age and identity verification from any entrant at any time, and may conduct checks on any details submitted.

11. Ownership of Entries and Intellectual Property Rights: All entries become the property of Dinogo and will not be acknowledged or returned. You must have permission from any individuals referenced in your entry. By participating in the Sweepstakes, you grant Dinogo non-exclusive, royalty-free, and irrevocable rights to use, reproduce, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the entry in any form and media worldwide indefinitely, without further compensation or notification.

12. Content of Entries: Entrants assure that they possess the exclusive rights to grant such permissions to Dinogo, and that Dinogo's use of the entry will not violate any third-party rights, including but not limited to copyright, trademark, privacy, or publicity rights. If an entry contains offensive, violent, pornographic, obscene, illegal, or otherwise inappropriate material, or does not meet these Rules or Dinogo’s standards, it may be deemed ineligible and removed. All entries must comply with applicable laws and regulations. Dinogo is not obligated to copy, publish, display, or otherwise use the entry.

In the case of any errors, misunderstandings, or disputes regarding the validity of the information provided by the entrant or the operation of any part of the Sweepstakes, Dinogo's decision shall be final, and no further correspondence will be entertained.

13. Exclusion of Liability: Dinogo is not liable for any faults, malfunctions, damages, losses, or disappointments experienced by any entrant arising from their participation in the Sweepstakes or acceptance of any Prize, whether due to errors, omissions, or other causes by Dinogo, its employees, agents, or others, to the fullest extent allowed by law.

By entering the Sweepstakes, each participant agrees, on behalf of themselves and their heirs, executors, and administrators: (a) to release and hold harmless Dinogo and its promotional partners, along with their subsidiaries, affiliates, directors, officers, employees, and agents (collectively referred to as the “Released Parties”), from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, regardless of cause, from participation in the Sweepstakes and/or acceptance, possession, use, or misuse of any Prize; (b) to indemnify the Released Parties against any and all liabilities arising from the Sweepstakes, acknowledging that the Released Parties have not made any warranties, representations, or guarantees, express or implied, regarding the Prize; (c) if chosen as a Winner, to allow the posting of their name and/or username on the Dinogo website and the use of their name, voice, image, and/or likeness by the Released Parties for promotional purposes in any media worldwide, without additional compensation or approval; and (d) to abide by these Rules, waiving any right to claim ambiguity or errors, and to be bound by all decisions made by Dinogo, which are final and binding. Noncompliance with these conditions may lead to disqualification at Dinogo’s discretion.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE YOUR RIGHTS UNDER CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN, MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

THE ONLY REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES. UNDER NO CIRCUMSTANCES SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR RELATED COSTS INCURRED IN FILING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF.

14. Use of Data: Dinogo may collect personal data from entrants in accordance with its privacy policy. Please review Dinogo’s privacy policy here. By participating in the Sweepstakes, entrants consent to Dinogo's collection and use of their personal information to manage the Sweepstakes as outlined in these Rules and confirm that they have read and accepted Dinogo’s privacy policy.

15. Organizer: The Sweepstakes is sponsored by Dinogo Software Corporation.

16. Non-Affiliation: This Sweepstakes is not organized, sponsored, endorsed, or affiliated in any way with any Prize provider or Social Media Platform.

17. Governing Law: The laws of the State of Connecticut, U.S.A., shall govern and interpret the Sweepstakes without regard to its conflict of laws provisions.

ARBITRATION: BY ENTERING THE SWEEPSTAKES, ENTRANTS AND POTENTIAL WINNERS CONSENT TO EXCLUSIVE JURISDICTION FOR ANY DISPUTES OF ANY KIND ARISING FROM OR RELATED TO THE SWEEPSTAKES AND THESE RULES, TO BE RESOLVED THROUGH BINDING ARBITRATION IN STAMFORD, CT, BEFORE A NEUTRAL ARBITRATOR MUTUALLY AGREED UPON BY BOTH PARTIES. THE PARTIES SHALL SHARE ARBITRATION COSTS EQUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL RIGHTS TO LITIGATE, SEEK INJUNCTIVE RELIEF, OR PURSUE ANY OTHER LEGAL REMEDIES IN CASE OF DISPUTES RELATED TO THIS SWEEPSTAKES ARE WAIVED BY ALL PARTICIPANTS.

18. Prohibition and disqualification: Dinogo reserves the right to permanently disqualify any individual from this or any other promotion if they are deemed to have intentionally violated these Rules. Any effort to willfully disrupt the Sweepstakes or its operations is illegal and may result in legal action from Dinogo, which may pursue damages to the fullest extent allowed by law.

Dinogo assumes no responsibility or liability for cancellations, delays, or any alterations made by any entity or individual providing any part of the Prize due to circumstances beyond Dinogo's control, and is not liable for any expenses resulting from such situations.

If Dinogo fails to adhere to any part of these Rules due to events such as natural disasters, war, fire, riots, earthquakes, terrorism, or actions by government authorities outside Dinogo's control (excluding compliance with relevant codes and regulations), it will not be regarded as a breach of these Rules.

The Released Parties are not liable for any telecommunications, network, electronic, technical, or computer failures of any sort; for inaccurate entry information transcription; for mistakes in any promotional or marketing materials or in these Rules; for human or electronic errors; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.

19. Modification or cancellation of these Rules: Dinogo reserves the right to cancel, modify, or suspend the Sweepstakes or any part of it (including, but not limited to, these Rules) without prior notice for any reason, including unanticipated events not fully covered in these Rules. In cases of cancellation, modification, or suspension, Dinogo may randomly select winners from all eligible, non-suspect entries received before the event causing such action. Any notice of cancellation, modification, or suspension will be displayed on Dinogo’s website. Dinogo may disqualify any participant who shows disregard for these Rules, acts with intent to annoy, threaten, or harass others, or behaves disruptively, as determined solely by Dinogo. Dinogo also reserves the right to adjust these rules for clarification without changing the essential terms and conditions of the Sweepstakes.
