Dinogo Leap Day Giveaway

1. Overview: The Giveaway mentioned below (“Giveaway”) is hosted by Dinogo Software Corporation (“Dinogo”), based at 7 Market Street, Stamford, CT 06902.

These guidelines outline the terms and conditions of the Giveaway (“Guidelines”). By participating in the Giveaway, you agree to adhere to these Guidelines. If you disagree with any of the Guidelines, please refrain from entering the Giveaway. Noncompliance with these Guidelines may lead to disqualification from the Giveaway at Dinogo’s discretion.

2. Important Definitions: The capitalized terms below shall have the meanings assigned to them as follows:

3. Eligibility Criteria: You are qualified to enter the Giveaway if you satisfy the Eligibility Criteria. Employees of Dinogo, Booking Holdings, Inc. (“Booking Holdings”) or its affiliates, as well as anyone professionally associated with this Giveaway, and members of their immediate families (including parents, siblings, spouses, and children) are ineligible to win the Prize (as detailed above). Any such entries will be deemed void. NO PURCHASE REQUIRED TO ENTER. VOID WHERE PROHIBITED.

4. Entry Period: The Giveaway starts on Monday, February 26, 2024, at 10:00 AM (EST) and concludes on Friday, February 29, 2024, at 11:59 PM (EST) (“Entry Period”). Following the Entry Period, Winners will be selected and notified on or around Monday, March 4, 2024, at 3:00 PM (EST) (“Drawing Date”). All times related to the Giveaway are in Eastern Standard Time unless stated otherwise. The Sponsor’s server for the Giveaway will serve as the official timekeeping device. ENTRANTS MUST DETERMINE THE CORRESPONDING TIME ZONE FOR THEIR LOCATIONS.

5. How to Participate: During the Entry Period, you can enter the Giveaway through the Entry Method mentioned above. Each participant is limited to one (1) entry per email during the Entry Period. You must have an account on the applicable Social Media Platform(s) specified above to enter via those channels. Joining the specified Social Media Platform(s) is free. You must adhere to the terms and conditions of any Social Media Platform through which you enter the Giveaway. Any entries made using robotic, automated, or similar methods will be disqualified.

6. Selection of Winners: At the conclusion of the Entry Period, the winner(s) (“Winner(s)”) will be chosen through one (1) random drawing (“Drawing(s)”) on the Drawing Date from all eligible entries received during the Entry Period. Only one (1) Winner will be selected. The odds of winning depend on the total number of eligible entries received. All non-winning entries will not carry over to future giveaways or drawings. Note that an individual cannot win more than once. The Sponsor’s decisions regarding the Giveaway are final and binding.

7. Winner Notification: Potential Winners will be informed on TikTok as a reply to their comment approximately within 24 hours after the Drawing Date. If a potential Winner cannot be reached within three (3) business days following the first attempt to contact them, or if they are unable to attend, Dinogo may award the Prize to an alternate entrant. To claim the Prize, Winners must complete and return an “Affidavit of Eligibility and Liability Release,” a W-9 Form (if applicable), and, where permitted, a publicity release. If these documents are not returned within the specified timeframe, or if the Prize notification is returned as undeliverable, or if a potential Winner fails to comply with these Official Rules, the Prize will be forfeited, and Dinogo may notify a runner-up for that Entry Period. Dinogo reserves the right to conduct a background check on a potential Winner and disqualify anyone charged or convicted of a crime, or if Dinogo believes that awarding a prize to such individual may negatively impact the Giveaway or Dinogo. Dinogo’s computer will be the official timekeeper for all matters related to the Giveaway.

8. Prize: The Winner(s) will receive the Prize(s). The Winner(s) will not be compensated for the difference between the actual and estimated retail value. No cash equivalents or alternative prizes will be provided, and the Prize is non-transferable and non-exchangeable, except at Dinogo’s discretion. The Prize is provided “as is” without any warranty or guarantee, either expressed or implied. All taxes and other costs, including transportation and accommodations related to the acceptance or use of any Prize, are the sole responsibility of the Winner(s). The Prize(s) may also be subject to Additional Prize Conditions as noted above. Dinogo will not be liable for any loss, liability, or damage arising from a Winner’s acceptance or use of any Prize.

9. Winners List: To obtain a list of Winner(s) for the Giveaway, please email [email protected]. Requests for results must be submitted within 30 days following the conclusion of the Entry Period.

10. Terms and Conditions: By participating in the Giveaway, you affirm that all information you provide is accurate, up-to-date, and complete. Dinogo reserves the right to request proof of age and verification of an entrant’s identity at any time, and may conduct checks on any details provided.

11. Ownership of Entries and Intellectual Property Rights: All entries remain the property of the respective entrant(s), but submissions will not be acknowledged or returned. You must obtain permission from any individuals mentioned or referred to in your entry. By entering the Giveaway, participants grant Dinogo the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise utilize the entry and to include it in other works in any and all markets and media worldwide indefinitely without additional compensation, notification, permission, or approval.

12. Content of Entries: Entrants confirm that they possess the sole and exclusive rights to grant these rights to Dinogo and that Dinogo’s use, reproduction, publishing, displaying, and/or other use of the entry will not infringe upon any third-party rights, including, but not limited to, copyright, trademark, privacy, or publicity, nor create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. If any entry contains material deemed offensive, violent, pornographic, obscene, illegal, inappropriate, or racially or morally objectionable, or if an entry fails to comply with these Rules or meet Dinogo’s standards for any reason, as determined solely by Dinogo, such entry may be deemed ineligible for consideration and/or removed. Entries must adhere to all applicable laws, rules, and regulations. Dinogo has no obligation to copy, publish, display, or otherwise use the entry.

In the case of any errors, misunderstandings, or disputes regarding the validity of the information provided by the entrant, or the operation of any part of the Giveaway, Dinogo's decision will be final, and no further correspondence will be entertained.

13. Limitation of Liability: Dinogo shall not be liable for any faults, malfunctions, damages, losses, or disappointments experienced by any participant resulting from their involvement in the Giveaway or from accepting any Prize, whether due to errors, omissions, or other issues caused by Dinogo, its employees, agents, or others, to the fullest extent allowed by law.

By participating in the Giveaway, each entrant agrees, on behalf of themselves and their heirs, executors, and administrators, to (a) release and hold harmless Dinogo and its promotional partners, including their subsidiaries, affiliates, directors, officers, employees, and agents (collectively referred to as “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or otherwise, from their participation in the Giveaway and/or their acceptance, possession, use, or misuse of any Prize; (b) indemnify the Released Parties from any liability arising from the Giveaway and acknowledge that the Released Parties have made no warranties, representations, or guarantees, whether express or implied, regarding the Prize; (c) if chosen as a Winner, consent to the posting of their name and/or, if applicable, username on the Dinogo website and allow the Released Parties to use their name, voice, image, and/or likeness for promotional purposes in any media worldwide in perpetuity without further compensation, notification, permission, or approval; and (d) agree to abide by these Rules, waiving any right to contest any ambiguity or errors in the Rules or in the Giveaway itself, and accept all decisions made by Dinogo as final. Noncompliance may result in disqualification at Dinogo's sole discretion.

IF YOU RESIDE IN CALIFORNIA, YOU HEREBY WAIVE YOUR RIGHTS UNDER CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

THE SOLE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES. UNDER NO CIRCUMSTANCES SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR ANY RELATED COSTS ASSOCIATED WITH FILING A CLAIM, NOR SHALL THEY BE ENTITLED TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

14. Data Usage: Dinogo may collect personal information from entrants in accordance with its privacy policy. Please review Dinogo’s privacy policy here. By participating in the Giveaway, entrants consent to Dinogo’s collection and use of their personal information for the administration of the Giveaway and as outlined in these Rules (including sharing personal data as part of the Winner(s) list if selected as a Winner) and confirm that they have read and accepted Dinogo’s privacy policy. 

15. Organizer: The entity sponsoring the Giveaway is Dinogo Software Corporation.

16. Non-Affiliation: This Giveaway is not organized, sponsored, endorsed, or affiliated with any Prize provider or Social Media Platform. Each participant agrees, on behalf of themselves and their heirs, executors, and administrators, to release and hold harmless the Prize provider or Social Media Platform, including their subsidiaries, affiliates, directors, officers, employees, and agents (collectively, the “Released Parties”) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or otherwise, due to their participation in the Giveaway and/or their acceptance, possession, use, or misuse of any Prize or portion thereof.

17. Governing Law: The Giveaway will be governed by and construed in accordance with the laws of the State of Connecticut, U.S.A., without regard to its conflict of laws principles.

ARBITRATION: BY ENTERING THE GIVEAWAY, ENTRANTS AND POTENTIAL WINNERS CONSENT THAT ANY AND ALL DISPUTES ARISING IN CONNECTION WITH THE GIVEAWAY, PARTICIPATION THEREIN, AND/OR THESE RULES SHALL BE RESOLVED THROUGH BINDING ARBITRATION IN STAMFORD, CT, BEFORE A NEUTRAL ARBITRATOR MUTUALLY SELECTED BY BOTH PARTIES. BOTH PARTIES SHALL SHARE THE ARBITRATION COSTS EQUALLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RIGHTS TO LITIGATE, SEEK INJUNCTIVE RELIEF, OR PURSUE OTHER LEGAL REMEDIES IN CASE OF DISPUTES OR CLAIMS RELATING TO THIS GIVEAWAY ARE EXCLUDED, AND ALL PARTICIPANTS WAIVE SUCH RIGHTS.

18. Disqualification and Prohibition: Dinogo reserves the right to permanently disqualify any individual from any Giveaway or promotion if they are believed to have intentionally violated these Rules. Any deliberate attempt to sabotage the Giveaway or its operation is illegal and may result in legal action from Dinogo, which can seek damages to the fullest extent permitted by law.

Dinogo will not be liable for any cancellations, delays, or alterations made by any company or individual providing any aspect of the Prize due to circumstances beyond its control, nor for any expenses incurred as a result.

If Dinogo fails to comply with any part of these Rules due to events such as natural disasters, wars, fires, riots, earthquakes, terrorism, actions by governmental bodies beyond Dinogo's control (except as required by law), or other force majeure events, it will not be deemed a breach of these Rules.

The Released Parties are not accountable for any issues related to telecommunications, networks, electronics, or computer malfunctions; inaccuracies in entry information; errors in promotional materials or these Rules; any human or electronic mistakes; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.

19. Changes or Cancellation of these Rules: Dinogo reserves the right to cancel, modify, or suspend the Giveaway or any part of it (including these Rules) at any time and for any reason, without prior notice. In the event of such changes, winners may be randomly selected from all eligible entries received before the change occurred. Announcements regarding any cancellations or modifications will be made on Dinogo's website. Dinogo may disqualify any participant who disregards these Rules or behaves disruptively, as determined by Dinogo's discretion. Additionally, Dinogo may amend these Rules for clarification without significantly altering the Giveaway's terms and conditions.
